Overview

Welcome to the ChromeOS Readiness Tool (the "Tool" or "Services"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the service provider responsible for operating and distributing the Tool ("Company," "we," "our," or "us").

By accessing, downloading, installing, or using the ChromeOS Readiness Tool, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies referenced herein. If you do not agree to these Terms, please do not use the Tool.

Eligibility

To use the ChromeOS Readiness Tool, you must be at least 18 years of age or the age of legal majority in your jurisdiction, and capable of entering into legally binding agreements. By using the Tool, you represent and warrant that you meet these requirements.

Changes to the Terms

We reserve the right to modify, update, or change these Terms at any time, at our sole discretion. When we do, we will revise the "Effective Date" at the top of this document. Where possible, we will endeavor to notify you of significant changes through reasonable means, such as by posting a notice within the Tool or sending an email (if you have provided one). Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Tool.

Description of the Services

The ChromeOS Readiness Tool is designed to help users assess device compatibility with ChromeOS. The Tool may be installed through various means, including but not limited to Active Directory, cloud-based methods, or unified endpoint management (UEM) systems. The functionalities and features may vary depending on the deployment method used.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. If you do not agree to any modifications, your sole remedy is to discontinue using the Service.

To avoid automatic acceptance of future changes to these Terms, you must opt out within 30 days of the modification by contacting us at crt-follow-up@codimite.com. The previous version of Terms that were in effect before the modification shall apply until they expire or your subscription to the service ends, whichever is sooner.

User Accounts

Certain features of the Tool may require you to create an account or provide authentication credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage resulting from unauthorized access to your account.

We reserve the right to suspend or terminate your access if we suspect misuse or violation of these Terms.

User Conduct

You agree to use the Tool only for lawful purposes. You shall not:

• Use the Tool to infringe upon the rights of others, including intellectual property rights
• Attempt to gain unauthorized access to any part of the Tool, other accounts, or computer systems
• Distribute malware or engage in activities that compromise security
• Use the Tool in any manner that could disable, damage, or impair its functionality
• Reverse-engineer, decompile, or disassemble the Tool or any portion thereof
• Violate any applicable local, state, national, or international law or regulation

Intellectual Property

All content, trademarks, logos, service marks, and other intellectual property displayed in connection with the ChromeOS Readiness Tool are the property of the Company or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Tool in accordance with these Terms. This license does not transfer any ownership rights to you.

You may not copy, modify, create derivative works from, distribute, sell, lease, or sublicense any part of the Tool without our prior written permission.

Privacy Policy

Your use of the Tool is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal and device data. By using the Tool, you consent to the collection and use of information as set forth in the Privacy Policy.

Third-Party Links and Services

The Tool may contain links to third-party websites, applications, or services that are not owned or controlled by us. We do not endorse or assume responsibility for any third-party content, privacy policies, or practices. By using third-party services, you do so at your own risk.

Disclaimer of Warranties

The Tool is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or availability. We do not guarantee that the Tool will be error-free, secure, or uninterrupted, or that any defects will be corrected.

Limitation of Liability

To the fullest extent permitted by law, the Company and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use or inability to use the Tool. This includes, without limitation, loss of data, profits, or business opportunities.

In no event shall the Company's total liability exceed the amount you paid, if any, for access to or use of the Tool.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Tool, your breach of these Terms, or your violation of any law or the rights of a third party.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the use of the Tool shall be subject to the exclusive jurisdiction of the courts of Singapore.

Miscellaneous

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement: These Terms, together with our Privacy Policy and any additional guidelines or rules, constitute the entire agreement between you and the Company regarding the use of the Tool.
